Terms of Service

Welcome to Nova, an artificial intelligence-powered advertising prediction, forecasting, benchmarking, and analytics platform operated by Lunivva ("Lunivva," "Nova," "we," "our," or "us").

These Terms of Service ("Terms") govern your access to and use of Nova, including our website, applications, APIs, dashboards, reports, software, and all related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

Nova is intended for businesses, organizations, agencies, professionals, and other commercial users. You represent that:

Nova operates primarily through organization-owned workspaces. The organization that creates a workspace is the owner of that workspace.

Authorized users access Nova on behalf of their organization. If employment or authorization ends, the organization may revoke access at any time. Lunivva is not responsible for disputes between organizations and their users regarding workspace ownership or access.

Nova is offered through one or more subscription plans. Subscription plans may differ in:

Nova operates using a credit-based usage system. Credits represent the unit of consumption for certain platform services. Credits may be provided through:

6. Credit Consumption

Unless otherwise stated, Nova currently calculates credit usage using the following rules.

7. Credit Top-Ups

Organizations may purchase additional credits at any time through Nova where available. Purchased credits will be added to the organization's available credit balance. Top-Up Credits may be used for any eligible Services that accept credits.

Unless otherwise specified, purchased credits are non-transferable, have no cash value, may not be exchanged for currency, and may not be resold without written authorization from Lunivva.

8. Billing and Payments

Subscription fees and credit purchases must be paid using the payment methods accepted by Nova. Payments are processed through trusted third-party payment providers. Lunivva does not guarantee the availability of any specific payment processor.

By submitting payment information, you authorize the applicable payment provider to process charges associated with your subscription, credit purchases, taxes, and other applicable fees. Failure to complete payment may result in suspension of Services, reduced functionality, inability to purchase credits, or cancellation of subscription features.

Applicable taxes are the responsibility of the customer unless otherwise stated.

9. Subscription Changes

Organizations may upgrade, downgrade, renew, or cancel subscriptions in accordance with the options made available through Nova. Changes to subscription plans may affect monthly credit allocations, available features, processing capacity, user limits, or pricing. Unless otherwise stated, subscription modifications apply beginning with the next applicable billing period.

10. Pricing Changes

Lunivva reserves the right to modify subscription pricing, credit pricing, feature availability, included credit allocations, and service offerings. Where reasonably practicable, material pricing changes will be communicated before taking effect. Continued use of Nova following such changes constitutes acceptance of the updated pricing.

11. Future Services

Nova is an evolving platform. New Services may be introduced over time, including AI assistants, conversational analysis, additional forecasting models, automation tools, API capabilities, collaboration features, and enterprise functionality. Unless otherwise specified, these Services will also be governed by these Terms. Certain new features may require additional subscriptions, credits, or separate agreements.

12. Acceptable Use

You agree not to use Nova to:

Lunivva reserves the right to investigate suspected misuse and take appropriate action, including suspension or termination of access.

13. Third-Party Services

Nova relies on third-party technologies to provide portions of the Services. These may include cloud infrastructure providers, artificial intelligence model providers, authentication services, payment processors, email delivery providers, analytics providers, and monitoring or logging services. Your use of features that rely on third-party providers may also be subject to the applicable terms and policies of those providers. Lunivva is not responsible for the products or services of independent third parties.

14. Intellectual Property

Nova, including its software, source code, algorithms, prediction systems, benchmarks, scoring methodologies, interfaces, documentation, branding, logos, designs, reports' underlying methodologies, and all related intellectual property are owned by Lunivva or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted by these Terms, no rights are granted to reproduce, distribute, modify, create derivative works from, or otherwise exploit Nova or its intellectual property.

15. Customer Content

Organizations retain ownership of the advertisements, campaign information, business information, creative assets, and other materials they upload to Nova ("Customer Content"). By submitting Customer Content, the organization grants Lunivva a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, reproduce, and use Customer Content solely as necessary to operate Nova, generate reports and predictions, improve the Services, develop new features, maintain security, perform internal testing and benchmarking, and improve AI models in accordance with the Nova Privacy Policy.

Ownership of Customer Content remains with the organization at all times.

16. Artificial Intelligence and Predictions

Nova uses artificial intelligence, statistical models, forecasting techniques, benchmarking systems, and other computational methods to generate predictions, analyses, recommendations, and reports. These outputs are intended to assist decision-making and should not be interpreted as guarantees of future performance.

Predictions generated by Nova are based on the information available at the time of analysis and may be affected by factors outside of Nova's control, including market conditions, platform changes, advertising algorithms, customer decisions, audience behavior, economic conditions, and other external variables. Organizations remain solely responsible for evaluating and implementing any recommendations generated by Nova.

Lunivva does not guarantee advertising performance, revenue, return on advertising spend (ROAS), conversion rates, sales, lead generation, audience engagement, campaign success, business outcomes, or prediction accuracy.

17. Service Availability

Lunivva continually develops and improves Nova. To maintain and improve the Services, we may perform scheduled maintenance, release updates, modify platform functionality, introduce new features, remove outdated functionality, improve prediction models, upgrade infrastructure, or modify APIs. Temporary interruptions may occur due to maintenance, software updates, third-party outages, security incidents, or circumstances beyond our reasonable control. We do not guarantee uninterrupted or error-free availability of the Services.

18. Beta and Experimental Features

From time to time, Lunivva may make available beta, preview, experimental, or early access features. These features are provided for evaluation purposes and may change substantially, contain defects, produce inaccurate results, be discontinued without notice, or have limited support. Organizations use beta features at their own discretion.

19. Suspension and Termination

Lunivva may suspend or terminate access to the Services if these Terms are violated, payment obligations are not met, fraudulent activity is suspected, unauthorized access is detected, use of Nova creates security risks, or it is required by law. Organizations may discontinue use of Nova at any time. Termination does not automatically eliminate outstanding payment obligations or other responsibilities that accrued before termination. Certain provisions of these Terms, including intellectual property, confidentiality, disclaimers, limitation of liability, and dispute resolution, continue after termination.

20. Confidentiality

Each party acknowledges that, during the course of using or providing the Services, confidential information may be disclosed. Each party agrees to use reasonable care to protect confidential information and not disclose it except as required to provide the Services, with the owner's consent, as required by applicable law, or to trusted service providers acting on behalf of the receiving party under appropriate confidentiality obligations.

This section does not apply to information that becomes publicly available through no fault of the receiving party, was already lawfully known, is independently developed, or is lawfully obtained from another source without confidentiality obligations.

21. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUNIVVA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, PERFORMANCE, OR SECURITY. No information or advice provided by Lunivva creates any warranty unless expressly stated in a written agreement signed by Lunivva.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUNIVVA, ITS AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, ADVERTISING LOSSES, CAMPAIGN UNDERPERFORMANCE, MISSED OPPORTUNITIES, BUSINESS INTERRUPTION, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This limitation applies regardless of the legal theory under which liability is asserted, including contract, tort, negligence, strict liability, or otherwise. Where liability cannot legally be excluded, Lunivva's total aggregate liability arising from the Services shall not exceed the total amount paid by the organization to Lunivva for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

23. Indemnification

The organization agrees to defend, indemnify, and hold harmless Lunivva and its affiliates, officers, employees, contractors, licensors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from use of the Services, Customer Content, violation of these Terms, violation of applicable law, infringement of intellectual property rights, or misuse of Nova by the organization or its authorized users.

24. Force Majeure

Lunivva shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, power failures, internet outages, government actions, labor disputes, cybersecurity incidents, acts of war, terrorism, pandemics, or failures of third-party infrastructure or service providers.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction selected by Lunivva, without regard to conflict of law principles. Any legal proceedings shall be brought before the courts having jurisdiction over that governing law unless otherwise required by applicable law.

26. Changes to the Terms

Lunivva may update or modify these Terms from time to time to reflect changes to the Services, applicable laws, business practices, security measures, pricing, or product functionality. Material changes will become effective after reasonable notice is provided through the Services, by email, or by other appropriate means where required by applicable law. Continued use of the Services after the effective date of the revised Terms constitutes acceptance of the updated Terms.

27. Assignment

Organizations may not assign or transfer their rights or obligations under these Terms without Lunivva's prior written consent. Lunivva may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or other business transaction.

28. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

29. No Waiver

Failure by Lunivva to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

30. Entire Agreement

These Terms, together with the Nova Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between the organization and Lunivva regarding the Services and supersede all prior understandings relating to the same subject matter.
